BRAND AMBASSADOR AGREEMENT
This agreement describes the terms and conditions for participation in the Brand Ambassador Program. The terms "Brand Ambassador," "you," and "your" are referring to you, the applicant. "We" and "our" refer to SkinHealth Canada. We are independent parties and this agreement will not form any partnership.
A Brand Ambassador is an independent contractor. You are not an employee, agent, partner or franchisee of, or joint venture of the Company. You cannot act on behalf of, represent or execute any contracts on behalf of the Company. You do not have any authority to incur any debt, obligation or liability on behalf of the Company.
A Brand Ambassador is not an employee of SkinHealth Canada. This is an individual who does not have an exclusive territory and just refers SkinHealth Canada into new clinic opportunities that SkinHealth Canada will sell and service in exchange for a one-time referral fee.
Referral must be emailed to email@example.com and include. First and last Name of contact, Business name, Address along with phone and e-mail address and
Referral must be closed within 90 days following the referral to be eligible for referral compensation
If the referral is already in an active sales process notification will be provided back to the Brand Ambassador and it will not be eligible for compensation. This determination will be made exclusively by Skinhealth Canada.
Referral fees will be paid out on the full payment of product or equipment by the referred new clinic partner. Any returned checks, chargebacks, or fees from a returned order will be adjusted in the following fee payment
As a Brand Ambassador, you are an independent contractor and responsible for all self‐ employment taxes, income taxes and other filings required by law.
We make no express or implied warranties or representations with respect to the Brand Ambassador Program or your potential to earn income from the Brand Ambassador Program.
SkinHealth Canada at its sole discretion retains the right to refuse, or, cancel this program at anytime. SkinHealth Canada may not be held liable for any form of losses, distress or costs incurred through its actions, nor is SkinHealth Canada liable to further explain such action beyond a single explanatory notification of such in writing.
SkinHealth Canada acts only as a supplier of products and equipment and may not in any way be held liable in any way that results from this program.
SkinHealth Canada reserves the general and exclusive right, at its discretion, to update AND/OR change any of the terms and conditions of this agreement without prior notice. The most current version will always be the binding version. Should it ever become necessary for the Clinic Partner to resolve any grievances or undertake any legal action, the first course of action will be through arbitration, in the province of Ontario, and in accordance with the laws of Canada, unless otherwise agreed to by both parties.
By submitting this Brand Ambassador Registration form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
